This End-User License Agreement (“Agreement” or “EULA”) is a binding legal agreement between you (either an individual or a single legal entity, hereinafter referred to as “User” or “Licensee”) and SMARTech Consulting GmbH, located at Oberhornbach 26, 84076 Pfeffenhausen, Germany (hereinafter referred to as “Licensor”, “Company”, “we”, “us”, or “our”), for the licensing and use of the software application named SMARTconnect (“Software”).

By installing, copying, connecting, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. Grant of License

• License Grant: Subject to your strict compliance with the terms and conditions of this EULA, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely to facilitate integration and data synchronization between your QuickBooks Online platform and target electronic invoicing tax networks.

• Scope of Use: You may use this Software exclusively for legitimate business operations in accordance with applicable accounting and fiscal laws.

2. Description of Services & Third-Party Platforms

• Integration Middleware: SMARTconnect acts exclusively as an integration bridge designed to extract financial or transactional metadata (such as invoices) from Intuit QuickBooks Online via API communication, translate said metadata, and route it to authorized tax or fiscal reporting platforms.

• Third-Party Dependency: You acknowledge and agree that the functionality of the Software depends heavily on the availability and performance of third-party application programming interfaces (APIs), including but not limited to Intuit Inc. and government fiscal servers. Licensor is not liable for disruptions caused by third-party API changes, depreciations, network downtimes, or revoked account permissions.

3. Restrictions on Use

You agree that you will not, and will not permit any third party to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying ideas, or algorithms of the Software.

• Modify, adapt, translate, or create derivative works based upon the Software.

• Rent, lease, lend, sell, sublicense, distribute, or transfer the Software or any rights granted herein to any third party.

• Use the Software to bypass security protocols, intercept encrypted authentication keys, or mask unauthorized fiscal reporting activity.

4. Data Privacy, Encryption, and Security

• Data Transiency: SMARTconnect processes transaction payloads and system tokens using secure runtime channels. Financial data routed through the integration layer is parsed in transient memory contexts to facilitate structural schema transformations.

• Account Credentials: You are solely responsible for obtaining and maintaining your respective QuickBooks and API access keys. Licensor does not collect, sell, or retain your private accounting database records or raw cryptographic credential secrets outside of standard transit routing parameters.

• Compliance: You represent and warrant that your configuration, processing, and synchronization of accounting data via the Software complies fully with all regional data protection acts and privacy laws.

5. Intellectual Property Rights

• Ownership: The Software, including its structure, organization, code, user interface elements, documentation, and all associated intellectual property rights worldwide, is and shall remain the exclusive property of SMARTech Consulting GmbH.

• No Implied Rights: This Agreement does not grant you any ownership interest in the Software, but only a limited right of use that is revocable in accordance with the terms herein.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMARTECH CONSULTING GMBH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SYSTEM INTEGRITY, ACCURACY, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED, ERROR-FREE, OR FULLY ALIGNED WITH EVERY REAL-TIME UPSTREAM GOVERNMENT TAX SYSTEM SCHEMA MODIFICATION.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SMARTECH CONSULTING GMBH BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, LICENSOR’S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Termination

• Termination by Licensor: Without prejudice to any other rights, Licensor may terminate this EULA immediately if you fail to comply with its terms and conditions, or if your underlying subscriptions to integrating channels lapse.

• Effect of Termination: Upon termination, you must immediately cease all use of the Software and destroy or delete all copies of any associated structural components or configuration profiles in your possession.

9. Governing Law and Jurisdiction

This Agreement shall be governed by, interpreted, and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict of law provisions. Any legal disputes, claims, or procedures arising from or relating to this EULA shall be subject to the exclusive jurisdiction of the competent courts located in Landshut/Bavaria, Germany.
